Welcome to Scarab Training, LLC ("Scarab," "we," "us," or "our").
These Terms & Conditions ("Terms") govern your access to and use of the Scarab Training website, learning platform, courses, certifications, memberships, digital content, webinars, and related services (collectively, the "Platform").

By accessing, browsing, purchasing, registering for, or using the Platform, you agree to be legally bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must discontinue use of the Platform immediately.

2. Eligibility
You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, to access paid services unless authorized by a parent, guardian, employer, institution, or government agency.
By using the Platform, you represent and warrant that:

• You have the legal authority to enter into these Terms;

We reserve the right to:

• Update instructors;

• Change schedules;

• Remove or discontinue services;

Scarab does not guarantee:

• Continuous platform availability;

• Compatibility with every device;

• Availability of specific courses;

• Any specific educational, professional, or employment outcome.

 
5. Intellectual Property Rights
All content available through the Platform, including but not limited to:

• Courses

• Videos

• Recordings

• Presentations

• Graphics

• Logos

• Assessments

• Certifications

• Training materials

• Downloadable resources

is owned by or licensed to Scarab Training, LLC and protected by applicable intellectual property laws.
 
Unless expressly authorized in writing, users may not:

• Copy or reproduce content;

• Distribute materials;

• Sell or sublicense content;

• Record courses or webinars;

• Create derivative works;

• Upload content into artificial intelligence training systems;

• Share access credentials with others.

 
Violation of these provisions may result in immediate account termination and legal action.
 
6. User Conduct
You agree not to:

• Violate applicable laws;

• Attempt unauthorized access;

• Interfere with platform security;

• Harass instructors or other users;

• Upload harmful, offensive, defamatory, discriminatory, or unlawful content;

• Introduce malware or malicious software;

• Use automated scraping tools or bots;

Scarab reserves the right to suspend or terminate accounts that violate these rules.
 
7. Certifications and Educational Disclaimer
Courses and certifications provided by Scarab are educational in nature.
 
Unless expressly stated otherwise:

• Certifications are not government-issued credentials;

• Certifications are not professional licenses;

• Certifications are not academic degrees;

• Certifications do not guarantee employment, promotion, salary increases, or regulatory approval.

 
Scarab reserves the right to revoke certifications obtained through fraud, misconduct, or violation of these Terms.
 
8. Payments and Refunds
Purchases made through the Platform are governed by Scarab's Payment Terms and Refund Policy.
By purchasing any course, certification, subscription, or service, you agree to those policies.
Current payment and refund policies are incorporated into these Terms by reference.
 
9. Privacy
Your use of the Platform is governed by the Scarab Privacy Policy.
By using the Platform, you consent to the collection, use, storage, and processing of information as described in the Privacy Policy.
 
10. Third-Party Services
The Platform may utilize third-party providers, including:

Scarab is not responsible for the availability, content, security, or practices of third-party services.
 
11. Disclaimer of Warranties
THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCARAB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

• MERCHANTABILITY;

• FITNESS FOR A PARTICULAR PURPOSE;

• NON-INFRINGEMENT;

• ACCURACY;

• AVAILABILITY.

 
Scarab does not warrant that the Platform will be uninterrupted, secure, error-free, or always available.
 
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCARAB SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES;

• INCIDENTAL DAMAGES;

• CONSEQUENTIAL DAMAGES;

• LOSS OF DATA;

• LOSS OF REVENUE;

• LOSS OF BUSINESS OPPORTUNITIES;

• LOSS OF GOODWILL.

 
Scarab's total liability arising from use of the Platform shall not exceed the amount paid by the user to Scarab during the twelve (12) months preceding the claim.
 
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
 
13. Indemnification
You agree to defend, indemnify, and hold harmless Scarab Training, LLC, its officers, employees, contractors, instructors, affiliates, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from:

• Your violation of these Terms;

• Misuse of the Platform;

• Violation of applicable law;

• Infringement of third-party rights;

• Content submitted through your account.

 
14. Suspension and Termination
Scarab reserves the right to suspend, restrict, or terminate access to the Platform for:

• Violation of these Terms;

• Fraudulent activity;

• Unauthorized account sharing;

• Intellectual property violations;

• Non-payment;

• Abusive conduct.

 
Termination may occur without refund where permitted by law.
 
15. Governing Law
These Terms shall be governed by and construed under the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
 
Any disputes not subject to arbitration shall be brought exclusively in:

• The state courts of Fairfax County, Virginia; or

• The federal courts located in Alexandria, Virginia.

 
16. Arbitration Agreement
Except where prohibited by law, disputes arising from these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA).
 
Users waive any right to participate in class actions, collective actions, or representative proceedings.
 
Nothing in this section prevents either party from seeking injunctive relief, enforcing intellectual property rights, or pursuing eligible claims in small claims court.

The Platform may be accessed worldwide.
 
Users are solely responsible for compliance with local laws regarding:

• Certifications;

• Consumer rights;

• Taxation;

• Internet usage;

• Professional licensing requirements.

Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
